It looks to me like the offeror is buying the risk, so to speak. You get a firm half-way price which is as risk-free as it gets. The offeror will take the card with the risk/reward of the grade.
I'd take it. I'm not sure it would get a 5 with that UL corner. Maybe the buyer plans to submit through a major player with the hope of getting a friendly 5?
Either way, it looks to me like a removal of risk from your part.
